    In this research, in order to clarify the governance function of the holding company, which is the head office of group management, I attempted to discover historical facts and theoreticalize them based on prewar zaibatsu. By focusing on the authority relationships within the group, I examined the dynamics within the organization when conducting multifaceted business development. Specifically, through the analysis of the method of adjusting interests among the owner, the head office, and the affiliated companies and the negotiation process regarding decision making as a group, I examined the way of decision making within the conglomerate, which has not been clarified in the past.

    This research focused on the risk taking and management of Mitsui & Co., Ltd. and Mitsubishi Shoji Kaisha, and clarified how the mechanisms was formed and how they differed between the two companies.
    After the Japan-China War, Mitsui & Co. established mechanisms in which the head office limited the range of price fluctuation risk and credit risk, gave branches the authority to take risks within the ranges, and monitored whether the branches had exceeded the ranges of authority. In addition, a system was established after the Japan-China War to deposit funds at the head office and branches in case of risk taking failure. Since 1909, the reserve had been concealed due to taxes. In Mitsubishi Shoji Kaisha, after World War I, the head office narrowed the ranges of price fluctuation risk and credit risk, and did not give branches the authority to take risks.

    We compared two general trading companies (Mitsui & Co.and Mitsubishi Trading Co.).The documents which we mainly analyzed are the materiales which Nationa Archives and Research Administration in USA, Mitsui Research Institute for Social and Economic History ,and Mitsubishi Archives possese.
    First,by analyzing the documents,we clarified how organization of trading, rule of trading, official authority of the branch manager,and way of promotion and the bonus are different. Second,we clarified how the differences influenced predominance or inferior in the competition.
